Terms of Service

These Terms of Service ("Terms") govern access to and use of the MakaoYetu cloud software platform ("Platform") provided by Tanduu LLC, a limited liability company organized under the laws of the State of Florida, United States of America ("Tanduu", "we", "us").

1. Platform description

MakaoYetu is a proprietary software-as-a-service (SaaS) product for property managers, landlords, and housing operators in Kenya and internationally. The Platform helps you record tenants, billing units, invoices, payments, and operational workflows. MakaoYetu is a technology management tool only.

2. No financial institution or brokerage

Tanduu LLC is not a bank, escrow agent, payment institution, licensed real estate brokerage, or legal advisor. We do not hold tenant deposits, collect rent on your behalf as a principal, or guarantee payment performance. Any M-Pesa, card, or bank transactions initiated through integrated providers (including IntaSend or Safaricom M-Pesa) are processed by those third parties under their own terms.

To the fullest extent permitted by law, Tanduu LLC accepts no liability for:

• rent defaults, arrears, or tenant non-payment;
• disputes between landlords, tenants, caretakers, or agents;
• downtime, delays, or failures of telecommunications networks, Safaricom M-Pesa, SMS gateways, or other external infrastructure;
• decisions you make based on reports or data displayed in the Platform.

3. Your responsibilities

You are solely responsible for the accuracy of data you enter, compliance with Kenyan tenancy and tax laws, and communications with your tenants. You must maintain valid contact details and secure your login credentials.

4. Data backup obligation

Property managers and landlords are strictly required to maintain their own regular offline backups by exporting data periodically using the Excel/CSV export functions provided in the Platform. Cloud availability does not replace your independent backup discipline. Tanduu LLC is not liable for data loss where reasonable offline backups were not maintained.

5. Subscription, fair use, and trials

Paid subscriptions are billed per active billing unit as displayed in your admin dashboard. Free trials convert to paid or read-only access when the trial period ends unless payment is received. We may suspend accounts for abuse, fraud, or non-payment after reasonable notice where practicable.

6. Limitation of liability

Except where prohibited by applicable law, Tanduu LLC's total aggregate liability arising from or related to the Platform shall not exceed the fees paid by you to Tanduu LLC in the twelve (12) months preceding the claim. We shall not be liable for indirect, incidental, special, consequential, or punitive damages.

7. Governing law

These Terms are governed by the laws of the State of Florida, United States of America, without regard to conflict-of-law principles. Courts in Pinellas County, Florida shall have exclusive jurisdiction, subject to mandatory consumer protections that cannot be waived in your jurisdiction.
